Tokyo, July 1, 2003. Tokyo Gas Co., Ltd.(President: Norio Ichino), Show Shell Sekyu K.K (Chairman: Haruyuki Niimi). and Shell Gas & Power Japan (President: Peter. L. Robinson) announced today that Tokyo Gas, Shell Gas & Power, and Showa Shell have concluded a Joint Venture Agreement which includes the establishment of a planning company [JVC] to conduct a feasibility study for a natural gas fired power generation plant. The site is Ohgishima West Oil Depot, which is owned by Showa Shell SSKK and operated by Toa Oil.
The company is going to be established to conduct an Environment Impact Assessment study, parallel to technical and economics studies in order to evaluate feasibility of the potential power generation plant. The decision to construct power station will be taken later based upon outcomes of the study conducted by the Joint Venture Company. Detailed operations will be determined based on the study results by the planning company.

2. Business Objectives
|
Under the liberalization of electricity market, both effective energy efficiency usage and environmental conservation are strongly required. This is an alliance between the Shell Group, which has interests in the upstream business of LNG, a suitable site for power generation at the coast of Tokyo Bay, and expertise in the power generation business, and Tokyo Gas, which has experience in LNG procurement and city gas supply together with electricity retailing. Together, the project will be able to provide electricity that is competitive and is made from natural gas, a clean energy source.
The partners wish to make a contribution to a stable, safe and efficient energy supply, whilst caring for the local and global environment.
